BEITEN BURKHARDT Advises Hitachi Solutions Europe Limited on Acquisition of implexis GmbH

Munich, 24 July 2018 – The international law firm BEITEN BURKHARDT has advised Hitachi Solutions Europe Limited on the acquisition of all shares in implexis GmbH, a German limited liability company based in Nuremberg. The shares were sold by the seller Almira Transformationsmanagement GmbH; the Share Purchase Agreement (SPA) was signed in June this year and the purchase executed at the beginning of July. The parties have agreed not to disclose the transaction volume. Subject of the purchase was also the indirect acquisition of all shares in implexis analytics GmbH, also based in Nuremberg.

Implexis was founded in 1993 and has 250 staff across five locations in Germany. With over 950 successfully completed projects mainly in the retail sector, it has an exciting and expanding customer portfolio.

Advisory services rendered by the BEITEN BURKHARDT team to Hitachi Solutions comprised advice on all legal aspects of the transaction: performing the due diligence, drafting and negotiation of the purchase agreement and execution of the acquisition.
